Standard Terms – Working with Wonderstory® Christian Animation Studio (Wonderstory Ltd)
Summary:
These are the terms and conditions for working with Wonderstory Ltd located at 63 West Close, Fernhurst, GU27 3JS, UK. By paying your deposit you agree to these terms and conditions. These terms are intended to ensure a clear and professional relationship, outlining responsibilities and expectations for both parties.
You:
You confirm that you have the authority to agree to these terms on behalf of yourself, your company, or your organisation. It is your responsibility to ensure all necessary internal approvals are obtained before agreeing to these terms. You’ll give us everything Wonderstory needs to complete the project in the format Wonderstory needs it. You’ll review our work, provide feedback and approval in a timely manner. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out at the end of these terms.
Us:
We have the experience and ability to do everything we have agreed with you and we will do it all in a professional and timely manner. We will endeavour to meet every deadline that’s set and on top of that we will maintain the confidentiality of everything you give us. If the scope of work changes during the project’s completion additional costs may occur.
Deliverables:
We will deliver the agreed-upon deliverables within the deadlines specified in our communications with you. Deliverables will be provided in the formats agreed upon at the project’s outset. Should there be any delays on our part, we will inform you immediately and work together to adjust deadlines as necessary. Our goal is to ensure the final product meets your expectations. You may ask to increase the duration of the video(s) if needed and if agreed by both parties. The additional cost will remain relative to the previously agreed quote per-minute, unless an increased or reduced price is agreed by both parties.
Legal:
Wonderstory can’t guarantee that our work will be error-free and so Wonderstory can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this document and shall not affect the validity and enforceability of any remaining provisions. Just like a parking ticket, you can’t transfer a project to anyone else without our permission. This ensures that our work is used in the intended context and maintains its integrity. These terms remain in effect unless amended in writing by both parties. Any amendments will require mutual agreement and documentation.
Refund and Cancellation Policy:
We typically provide watermarked files throughout the review process to protect our work before the final payment is made. This ensures that draft videos are not inadvertently distributed or used, while also protecting the value of our final deliverables. Once you approve the work and receive the final unwatermarked files, refunds for that work will no longer be available, as the project is considered complete.
You have the right to a full refund for any reason within 14 days of any payment during the watermarked review stage.
Either party can end the project at any time with written notice. If you cancel due to a major issue like a force majeure event, a breach of terms, changes in project scope, or legal problems, you’ll get a partial refund for any work that hasn’t been completed. No cancellation fee will apply.
We can also cancel the project for reasons like force majeure, non-payment, or changes in business circumstances. In such cases, we will refund any undelivered work. If we cancel for other reasons, you’ll receive a full refund for undelivered work, and Wonderstory will retain the rights to the work that hasn’t been delivered and hasn’t been paid for.
Scope of Revisions:
The client shall have the opportunity to request revisions during specific project phases, which include but are not limited to the rough sketch storyboard, full-colour storyboard, and video production stages. We offer unlimited revisions at each of these key milestones to ensure the final product aligns with the client’s vision. These revisions are intended to address minor changes and improvements to the project. Substantial changes or alterations (such as but not limited to: changing script after storyboarding begins, changing storyboard content after animation production begins) that significantly affect the project’s original scope may incur additional costs and shall be agreed upon by both parties in writing. It is essential that revision requests are provided in a clear and timely manner to prevent project delays.
Copyrights:
First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you’ve permission to use them. Then, when your final payment has cleared, copyright will be automatically assigned as follows: You own all elements of text, images and data you provided, unless someone else owns them. You will own the unique combination of these elements that constitutes a complete design.
Credits and Video Use
We love to show off our work and share what we have learned with other people, so Wonderstory reserves the right to display the completed video(s) and deliverables as part of our portfolio, social media, websites, in magazine articles and in books, as well as add a small credit at the end of the video in approximately 12pt font size. Equally, you agree to add a credit stating’s “Animation production by Wonderstory Christian Animation Studio https://www.wonderstory.net/” (or similar) in the description of wherever you post the video.
Unforeseen Circumstances (Force Majeure):
Neither party shall be considered in default or in breach of these terms to the extent that performance of their respective obligations (excluding payment obligations) is delayed or prevented by any unforeseen circumstance (known as force majeure) beyond the control of the parties, such as acts of nature, war, terrorism, civil disorder, government regulations, or other emergencies.
In the event of a force majeure event, the affected party shall promptly notify the other party of such an event and take reasonable steps to mitigate its impact. The affected party’s obligations shall be suspended for the duration of the force majeure event, and the timeline for project delivery shall be reasonably extended to accommodate the delay.
If the force majeure event continues for a period exceeding [90 days], both parties have the right to terminate this project without liability. In such a case, you shall be entitled to a refund of any payments made for work not yet performed, minus reasonable expenses already incurred.
Jurisdiction and Governing Law:
Our working relationship shall be governed by and construed in accordance with the laws of the United Kingdom, excluding its conflict of laws principles. Any legal action, dispute, or claim arising out of or relating to these terms shall be exclusively subject to the jurisdiction of the competent courts within the United Kingdom. Both parties hereby consent to the personal jurisdiction of such courts and waive any objections related to jurisdiction, venue, or forum non-convenience.
Payments:
You agree to pay us a deposit (typically 50%) as security for your performance of this project before we start work. You agree to pay us the remaining balance no more than 30 days after the final work has been delivered to you. You agree to pay all invoices within 30 calendar days of the invoice date. If Wonderstory receives payment from you more than 30 days after the invoice date, Wonderstory may impose a late fee of £50.00. If Wonderstory receives payment from the client more than 45 days after the invoice date, Wonderstory may assess interest equal to one percent of the unpaid balance for each month, or a portion of the month the balance is unpaid. Interest accrues retroactively from the due date. If the client has not paid an invoice for more than 90 days, Wonderstory may refer the collection of the unpaid amount to an attorney or collections agency. If the client’s unpaid invoices are referred to an attorney or collections agency, the client shall pay all reasonable attorney’s fees or collections agency fees in addition to the late fee and accrued interest.
